The VERTX Engineer Terms, Explained

The VERTX Engineer Terms are the one agreement between you and VERTX. A plain-English walkthrough of who pays you and when, how invoicing works, what happens to your work, how notice works, and what you agree to.

What the Engineer Terms Are

The VERTX Engineer Terms are the one agreement between you and VERTX. You accept them once, on the Platform, and the text you accepted is stored with your acceptance. Each engagement with a company is then recorded on the Platform when you accept it: the company, the start date, the days a week, your fee and the notice. That record forms part of the Terms for that engagement.

You work as an independent contractor, not as an employee or worker of VERTX or of any company. You handle your own tax and any local registration. You perform the work wholly outside the UK, and you tell VERTX before you work any day in the UK or change your country of residence. Your country also has a Regional Schedule covering local registration, invoicing, tax and payment. You can read it in Paperwork on your dashboard.

This guide explains the Terms in plain English. It is not legal or tax advice, and the Terms themselves are what apply. For your own tax position, a local accountant is the right person to ask.

IP: What Passes to the Company, and What Stays Yours

Work you produce in an engagement is assigned to VERTX, which assigns it on to the company. Each assignment takes effect as each week is paid, meaning once the company has paid VERTX for the week the work was made in.

Anything you created before the engagement, or outside it, stays yours. If your work includes that earlier material, VERTX and the company get a permanent licence to use it as part of the work. They do not get ownership of it.

  • Company work passes to the company, through VERTX, week by week as each week is paid.
  • Your earlier tools and code stay yours. Only a licence to use them in the work is given.
  • If a previous employer or client owns something you would otherwise use, tell VERTX before you use it.

Who Pays You, When, and Invoicing

VERTX contracts as principal. It is the only party that owes you a fee, and it pays you from its own funds. You have no claim against a company for payment, and you never invoice, chase or discuss money with one.

Each working week is reviewed for 7 days after it ends. When the review closes, that week is paid on the next VERTX pay date. Pay dates fall every 14 days and are shown in your Earnings. A week can only be held if a serious issue, such as work not done or fraud, is raised during its review. VERTX tells you what was raised, hears your side, and decides within 5 working days.

  • Each billing period, VERTX prepares a self-billed invoice in your name. You do not raise your own.
  • If an invoice is wrong, tell VERTX within 7 days of its issue and it is corrected.
  • Where your country's law requires your own invoice or receipt (for example an e-SMM or e-Arşiv document in Türkiye, or a VAT invoice in South Africa if you are a VAT vendor), or your Regional Schedule asks you to issue your own (as in Romania), you issue it for the same amount and upload a copy within 7 days.
  • Tell VERTX within 14 days if your tax details change, for example if you register for VAT or start trading through a company.
  • Nothing is deducted from your fee, and VERTX never charges you. Payment goes to a verified account in your own name, or in your registered company's name.

How You Work

You decide how you do the work, within the days you have agreed and any working hours recorded for the engagement. You use your own equipment, unless a company gives you specific access for security reasons.

You work only on days VERTX has cleared. If VERTX tells you to stop, you stop from the next working day until you are told you can carry on. Every day you worked before that is paid. A day worked after it is not.

Ending an Engagement

In your first 12 working days with a company, you or VERTX can end the engagement with one working day's notice. After that, either side gives 14 days' notice. However an engagement ends, every day you worked up to the end is paid.

VERTX can end an engagement straight away for a serious breach, for dishonesty in assessment or identity, or where the law or a sanctions screening requires it. It can also pause an engagement while it looks into a serious concern. Days you worked before a pause are still paid.

Working Elsewhere, and Not Going Around Us

There is no exclusivity. You can work for anyone else, on any other platform, at the same time.

The one limit covers companies you reach through VERTX. While you work with one, and for 12 months after your access to it ends, you deal with it only through VERTX. If it asks to work with you directly, tell VERTX. Your rate is also between you and VERTX: do not discuss it with a company or another engineer. Your own accountant, lawyer or tax office is fine.

This limit does not stop you working with anyone else, or carrying on a relationship you had with a company before VERTX introduced you.

Confidentiality, Security and AI Tools

You use a company's confidential information only for its work. When an engagement ends, you return or delete it, including any copies on your own devices and accounts.

  • Follow each company's security and access rules, and use only the accounts it gives you.
  • Use AI tools only in the way the company allows. Never put its confidential code or data into a tool that keeps it, shares it or trains on it.
  • Keep your passwords, keys and tokens to yourself, and never share an account.
  • Tell VERTX within 24 hours of any security incident, suspected leak, or breach of personal data.
